Terms of Service for Text2File

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your use of the Text2File mobile application (“the App”) developed and published by Nortek LLC. These Terms apply specifically and exclusively to Text2File and do not apply to any other Nortek LLC products or services.

By downloading, installing, or using Text2File, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

2. Description of Service

Text2File is a simple text editor for iOS devices that allows you to:

  • Create and edit text files with any extension
  • Save files directly to the iOS Files app
  • Open and modify existing text files
  • Work with plain text documents locally on your device

3. License Grant

Subject to your compliance with these Terms, Nortek LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use Text2File on your personal iOS device solely for your personal, non-commercial use.

4. User Responsibilities

You are solely responsible for:

  • Your files and data: Text2File is a simple text editor. It is not designed to back up your files or prevent deletion. You are responsible for maintaining your own backups and data management practices.
  • Appropriate use: You agree to use the App only for lawful purposes
  • Device security: Maintaining the security of your device and iOS installation
  • File management: Understanding how iOS file storage and the Files app work

5. Limitations and Disclaimers

5.1 No Warranty

TEXT2FILE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

5.2 No Data Recovery

Nortek LLC is not responsible for any loss of data, files, or content. The App does not include backup functionality. You must maintain your own backups.

5.3 Compatibility

While we strive to maintain compatibility with current iOS versions, we make no guarantee that the App will work with all iOS versions, devices, or future updates.

5.4 No Support Guarantee

Support is provided on a best-effort basis. We are not obligated to provide technical support, though we will address legitimate bugs and issues as we are able.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTEK LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR DATA USE, ARISING OUT OF OR RELATED TO YOUR USE OF TEXT2FILE.

IN NO EVENT SHALL NORTEK LLC’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE APP (WHICH IS CURRENTLY $0.00).

7. Updates and Modifications

7.1 App Updates

We may release updates to Text2File to fix bugs, improve performance, or maintain iOS compatibility. Updates that do not add new features will remain free. We reserve the right to introduce paid features or paid versions in the future.

7.2 Terms Updates

We may modify these Terms at any time. Continued use of the App after changes constitutes acceptance of the modified Terms.

7.3 Discontinuation

We reserve the right to discontinue Text2File at any time without notice or liability.

8. Intellectual Property

Text2File, including its code, design, and content, is the proprietary property of Nortek LLC and is protected by copyright and other intellectual property laws. You may not:

  • Copy, modify, or create derivative works of the App
  • Reverse engineer, decompile, or disassemble the App
  • Remove or alter any proprietary notices
  • Use the App’s name or branding without permission

9. Termination

Your license to use Text2File automatically terminates if you violate these Terms. Upon termination, you must delete the App from your device.

10. Governing Law

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Michigan.

11. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

12. Entire Agreement

These Terms constitute the entire agreement between you and Nortek LLC regarding Text2File and supersede any prior agreements.
