End User License Agreement (EULA) for Text2File |

1. Agreement to Terms

This End User License Agreement (“EULA”) is a legal agreement between you (the “User”) and Nortek LLC (“Licensor”) for the Text2File mobile application (“the Software”). This EULA applies specifically and exclusively to Text2File and does not apply to any other Nortek LLC products or services.

By downloading, installing, accessing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to this EULA, do not install or use the Software.

2. Grant of License

2.1 License Scope

Nortek LLC grants you a limited, non-exclusive, non-transferable, revocable license to:

Install and use the Software on iOS devices that you own or control
Use the Software for personal or commercial text editing purposes
Create, edit, and save text files using the Software

2.2 License Restrictions

You may NOT:

Distribute, sublicense, rent, lease, or lend the Software to any third party
Use the Software for any unlawful purpose
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
Modify, adapt, translate, or create derivative works based on the Software
Remove, alter, or obscure any copyright, trademark, or other proprietary notices
Use the Software in any way that violates any applicable laws or regulations
Circumvent or attempt to circumvent any technical limitations or security features
Use the Software’s name, logo, or trademarks without express written permission

3. Intellectual Property Rights

3.1 Ownership

The Software, including all code, graphics, user interface, design, and documentation, is the exclusive property of Nortek LLC and is protected by United States and international copyright laws, trademark laws, and other intellectual property rights.

3.2 Reservation of Rights

All rights not expressly granted to you in this EULA are reserved by Nortek LLC. This EULA does not grant you any rights to patents, copyrights, trade secrets, trademarks, or any other rights with respect to the Software.

4. Free Version and Future Pricing

4.1 Current Version

The current version of Text2File (Version 1.0) is provided to you free of charge.

4.2 Future Versions

Nortek LLC reserves the right to:

Release paid versions or premium features in the future
Charge for major feature additions or enhancements
Continue to provide free updates for bug fixes and iOS compatibility

Updates that solely address bugs or maintain compatibility with iOS updates will remain free.

4.3 No Obligation

Nortek LLC has no obligation to provide any future updates, upgrades, or enhancements, whether free or paid.

5. Disclaimer of Warranties

5.1 “As Is” Provision

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NORTEK LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

Implied warranties of merchantability
Implied warranties of fitness for a particular purpose
Warranties of non-infringement
Warranties that the Software will be error-free or uninterrupted
Warranties regarding the accuracy, reliability, or completeness of any results

5.2 User Acknowledgment

You acknowledge and agree that:

The Software is a simple text editor without backup or data recovery features
You are solely responsible for maintaining backups of your files and data
Nortek LLC is not responsible for any data loss, corruption, or deletion
Use of the Software is at your own risk

6. Limitation of Liability

6.1 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NORTEK LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:

Direct, indirect, incidental, special, consequential, or exemplary damages
Damages for loss of profits, revenue, data, use, goodwill, or other intangible losses
Damages resulting from unauthorized access to or alteration of your transmissions or data
Damages resulting from the use or inability to use the Software
Damages resulting from any errors, omissions, or inaccuracies in the Software

This limitation applies even if Nortek LLC has been advised of the possibility of such damages.

6.2 Maximum Amount

If any liability is found to exist, Nortek LLC’s total aggregate liability shall not exceed the amount you paid for the Software, which is currently $0.00 (zero dollars).

6.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above exclusions and limitations shall apply to the maximum extent permitted by law.

7. Updates and Modifications

7.1 Software Updates

Nortek LLC may, but is not obligated to, provide updates, patches, or enhancements to the Software. Any updates provided shall be considered part of the Software and subject to this EULA unless accompanied by a separate license agreement.

7.2 EULA Modifications

Nortek LLC reserves the right to modify this EULA at any time. Your continued use of the Software after changes to the EULA constitutes acceptance of the modified terms. It is your responsibility to review the EULA periodically.

8. Technical Requirements and Compatibility

8.1 Minimum Requirements

The Software requires:

A compatible iOS device
A supported version of iOS (as determined by Apple and Nortek LLC)
Sufficient storage space for the app and your files

8.2 No Compatibility Guarantee

Nortek LLC does not guarantee that the Software will function with all versions of iOS, all device models, or future operating system updates. We will make reasonable efforts to maintain compatibility but are not obligated to do so.

9. Support and Maintenance

9.1 Support Policy

Technical support for the Software is provided on a best-effort basis at the sole discretion of Nortek LLC. Support is limited to:

Investigation of legitimate bugs
Assistance with issues directly related to the Software’s functionality
General usage questions

9.2 No Obligation

Nortek LLC has no obligation to provide:

Training or tutorials
Assistance with general iOS or device issues
File recovery or data restoration services
Ongoing support after discontinuation of the Software

10. Data and Privacy

10.1 No Data Collection

Text2File does not collect, store, or transmit any user data. All files created or edited using the Software remain on your device.

10.2 Privacy Policy

11. Termination

11.1 Termination by User

You may terminate this EULA at any time by deleting the Software from all your devices.

11.2 Termination by Nortek LLC

This EULA and your license to use the Software terminate automatically if you:

Violate any term of this EULA
Engage in unauthorized use of the Software
Use the Software in any unlawful manner

11.3 Effect of Termination

Upon termination:

Your license to use the Software immediately ceases
You must delete all copies of the Software from your devices
Any provisions that by their nature should survive termination shall survive

12. Third-Party Services

Text2File integrates with the iOS Files app and may save files to locations including iCloud Drive. Use of these Apple services is subject to Apple’s own terms of service and privacy policies, which are separate from this EULA.

13. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You shall not export or re-export the Software in violation of any such laws or regulations.

14. U.S. Government End Users

If you are a U.S. Government end user, the Software is a “commercial item” as defined in 48 C.F.R. 2.101, and is provided with only those rights as are granted to all other end users under this EULA.

15. General Provisions

15.1 Entire Agreement

This EULA, together with the Text2File Terms of Service and Privacy Policy, constitutes the entire agreement between you and Nortek LLC regarding the Software and supersedes all prior agreements and understandings.

15.2 Governing Law

This EULA is governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law principles.

15.3 Jurisdiction and Venue

Any legal action or proceeding arising under this EULA shall be brought exclusively in the state or federal courts located in Michigan, and you consent to the personal jurisdiction of such courts.

15.4 Severability

If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.5 Waiver

No waiver of any term of this EULA shall be deemed a further or continuing waiver of such term or any other term, and Nortek LLC’s failure to assert any right under this EULA shall not constitute a waiver of such right.

15.6 Assignment

You may not assign or transfer this EULA or any rights granted hereunder without the prior written consent of Nortek LLC. Nortek LLC may assign this EULA without restriction.

15.7 Force Majeure

Nortek LLC shall not be liable for any failure to perform due to causes beyond its reasonable control.

17. Acknowledgment

BY DOWNLOADING, INSTALLING, OR USING TEXT2FILE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS EULA, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
